These Terms of Service govern your use of software and services provided by Ron Steele, a sole proprietor trading as iDigLabs ("we", "us"). By downloading, installing, or using our software, you agree to these terms. If you do not agree, do not install or use the software.
When you obtain a license key from us — whether purchased or issued free of charge — we grant you a non-exclusive, non-transferable, perpetual license to install and use the associated software.
You may not:
Paid software is available as a 30-day trial. The trial is the complete product with no features removed, no audio watermarking, and no time-limited interruptions during the trial period. Presets you create during a trial remain on your system and continue to work once you buy a license.
At the end of 30 days the software reverts to a limited mode until a license key is entered. Entering a key at any point — during or after the trial — unlocks the software in place. You do not need to reinstall, and nothing you saved is lost.
Trials are intended for evaluation. Attempting to reset, extend, or circumvent the trial period is a breach of these terms.
Some of our software is offered at no charge. Free software is licensed under these same terms and carries the same perpetual license. Offering software free of charge does not oblige us to continue offering it free of charge to future users, and does not create any obligation to provide support, updates, or continued availability.
We retain all right, title, and interest in the software, including all intellectual property rights. Your license grants you the right to use the software. It does not transfer ownership of it.
We may release updates at our discretion. Updates to a product you are licensed for are provided at no additional charge unless a new version is explicitly sold as a separate product. We may discontinue any product at any time. Discontinuation does not revoke a license you already hold.
Purchases and license key issuance are handled by Payhip (Payhip Ltd). The seller is Ron Steele, trading as iDigLabs. Payhip processes payments and issues license keys on our behalf.
Payhip's tax role depends on where you are. In the United States it acts as a marketplace facilitator; in Canada as a digital platform operator; and in the European Union and the United Kingdom it acts as reseller for value-added tax purposes. In each of those capacities Payhip collects and remits the applicable sales tax or VAT on your purchase, rather than us. Your transaction is subject to Payhip's own terms and privacy policy in addition to these terms.
Software may require a license key to be entered and validated over the internet on first activation. We do not collect information about your work, your projects, or your audio at any time.
The software is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or compatible with any particular host application, operating system version, or hardware configuration.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your use of or inability to use the software.
Our total aggregate liability for any claim arising out of these terms shall not exceed the amount you paid us for the software giving rise to the claim in the twelve months preceding the claim. For software obtained at no charge, our total aggregate liability shall not exceed twenty-five United States dollars (USD $25).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.
Your license terminates automatically if you materially breach these terms. On termination you must cease using the software and remove all installed copies. We may deactivate a license key that we reasonably determine has been shared publicly, resold, or otherwise used in breach of these terms.
These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute shall be brought in the state or federal courts located in Palm Beach County, Florida, and you consent to that jurisdiction. Nothing in this clause limits any mandatory consumer rights you may have under the law of your country of residence.
We may update these terms. The date at the top of this page reflects the most recent revision. Material changes apply from the date of publication. Changes do not retroactively affect a perpetual license you already hold.
